Furthermore, the firm specializes in corporate governance audits and compliance programs to ensure clients adhere to international corporate governance practices and Indonesia’s new Code for Good Corporate Governance.

BANKING & FINANCE

The firm’s banking, finance, and debt restructuring practice represents banks and financial institutions in relation to their lending activities in Indonesia. Our services encompass syndications and structured financing, along with structuring security packages for lenders. We also offer services in debt restructuring and related transactions.

FOREIGN & DOMESTIC INVESTMENT

The foreign and domestic investment practice helps clients formulate the most appropriate strategies to achieve their business objectives in Indonesia, considering each client’s unique investment criteria. The Firm manages all aspects of the investment approval process under Indonesia’s Foreign and Domestic Investment Law, ensuring that the Indonesian Capital Investment Coordinating Board (BKPM) grants all necessary regulatory approvals, and the investor’s Indonesian corporation is established in a timely and cost-effective manner. We also assist clients in devising and implementing alternatives to direct foreign investment, such as establishing representative offices, as well as technical assistance, management, licensing, franchising, and distribution arrangements. The Firm represents clients throughout the implementation of their chosen investment strategies, from negotiating with local partners and government officials to drafting and filing all necessary documentation, and finally implementing the investor’s operational plans.

INSURANCE

Our insurance practice represents general and life insurance, reinsurance (joint venture) companies, and insurance supporting companies. Our services include preparing joint venture agreements and Articles of Association for joint venture insurance companies, reviewing and advising on insurance policies and reinsurance treaties, advising on restructuring multinational insurance companies, and providing counsel on solvency issues, fraudulent claims, and compliance and regulatory issues.

CAPITAL MARKETS & SECURITIES

The Firm advises issuers, underwriters, and investors in stock, bond, convertible bond, and commercial paper transactions. We also prepare for and assist clients with bond issuing, Initial Public Offerings (IPOs), secondary or subsequent offerings, and other corporate actions of a public company. Services related to stock exchange procedures, securities regulation, and compliance are also available.

ENERGY & MINING

We provide comprehensive legal services to domestic and international clients in the energy and mining sectors, including oil and gas, geothermal, renewable energy, and mineral resources. Our land and property practice covers construction, land, and property matters, including the review and preparation of construction, land, and engineering contracts for building, housing, infrastructure, and plant projects. We also handle land acquisition and disposal, all aspects of property finance and leasing, sale and purchase transactions, and mortgage securities. TELECOMMUNICATION, IT & E-COMMERCE

LABOR & EMPLOYMENT

The labor and employment practice advises on severance matters, personnel policies and work rules, employment contracts, collective bargaining arrangements, mandatory training and social security programs, and other related matters such as redundancy and termination, as well as labor policy, industrial relations, and dispute settlement. The Firm also assists clients with procedures for employing expatriates, including work permits, visas, residency permits, and related governmental approvals and filings.

LITIGATION

The firm’s litigation practice represents clients in various areas of litigation, such as civil, criminal, and commercial litigation, covering cases in corporate, banking, mining, trading, businesses, labor, land, and property. Our experts have extensive experience in handling guarantee execution up to the auction process, as well as managing bad debt and other problems related to banking litigation. We help clients by developing appropriate and practical strategies, claims, and defenses in the event of a dispute, while actively seeking reasonable grounds for settlement and compromise. Should litigation be required, the Firm provides services including search and investigation, liaison, negotiation, intermediary/mediation, process at the relevant judicial forum, preparation and filing of petitions, legal arguments and settlements, and legal adjudication at the First Instance, Appeal, Cassation, and/or Judicial Review levels in any case throughout Indonesia in civil, criminal, and administrative proceedings. The Firm also assists clients in legal proceedings at the Police Department and Public Prosecutor for criminal procedures.
